Welcome to the US LBM family of websites (collectively, the “Websites”)! The Websites are owned, directly or indirectly, by US LBM Holdings, LLC. (“US LBM,” “Company,” “we,” or “us”). We respect your privacy and are committed to protecting it through our compliance with this privacy notice (the “Privacy Notice”).

This Privacy Notice describes the types of information we may collect from you or that you may provide when you visit the Websites, as well as when you use our offline services, and our practices for collecting, using, maintaining, protecting and disclosing that information. You can view more information about the application of this Privacy Notice, including a list of all Websites to which this Privacy Notice applies in Section 1 directly below.

By accessing a US LBM website on which the Privacy Notice is available, you confirm that you have read, understand, and acknowledge the terms of this Privacy Notice.  This Privacy Notice and the notices outlined herein are not intended to and do not create any contractual or other legal rights in or on behalf of any third party.

Some of our Websites provide you with the ability to apply for employment, allowing you to submit Personal Information (defined in Section 4 below) via electronic form. In such instances, the applicable application form may have supplemental terms or conditions, including terms regarding how we will handle and disclose information you submit in support of such applications. To the extent this Privacy Notice conflicts with any such supplemental terms or conditions, such supplemental terms or conditions will control. 2. ELIGIBILITY AND CHILDREN UNDER THE AGE OF 13

WE DO NOT INTENTIONALLY COLLECT ANY INFORMATION FROM USERS UNDER THE AGE OF 16, AND THE WEBSITES ARE NOT INTENDED FOR ANYONE UNDER THE AGE OF 16.  If we learn we have collected or received Personal Information from someone under the age of 16, we will delete that information. If you are a parent or legal guardian and think your child under 16 has given us information, you can contact us at  [email protected].

3. USERS OUTSIDE THE UNITED STATES

This website is intended for individuals in the United States. In the event you visit our Websites from outside the United States, please know that your information may be transferred to, stored, and processed in the United States, where our servers are located and our central database is operated. The data protection and other laws of the United States and other countries might not be as comprehensive as those in your country.

4. TYPES OF INFORMATION WE COLLECT ABOUT YOU AND HOW WE COLLECT IT

As you browse and interact with the Websites, we collect several different types of information about you or your device. Some of the information we collect is about you but does not identify you individually (“Non-Personal Information”); while some of the information is information by which you may be personally identified (“Personal Information”).

We collect Personal Information directly from you when you provide it to us and from third parties, for example, our business partners and affiliates. Personal Information may include, but is not limited to, your name, e-mail address, mailing, shipping, or billing address(es), phone number, customer account number, and credit card number and expiration date. See below for additional information about the Personal Information we collect:

∙E-Mail Correspondence and Form Information. Scattered throughout the Websites are links or forms that can be used to contact us so you can comment, make a complaint, make suggestions and ask questions, register to use our Websites, post material or request further services. We may also ask you for information when you report a problem with our Websites. This includes information provided at the time of purchasing a product from us, subscribing to our newsletter, contributing to any forum, reviews, or comments, or requesting further information about our products. Your email address is required on these forms so we can answer your questions. We may put information from email on file and may share or transmit this information with third parties without express authorization from you, in order to provide you with any membership benefits you may receive as a member to one of our Websites. By providing your email address, you are requesting that we communicate with you in that manner. To withdraw your request, or to unsubscribe, please click on the unsubscribe link in an email, or contact us by sending us an e-mail stating your request to [email protected] or contacting us in writing at the address provided below.

∙Transaction Details. Details of transactions you carry out through our Websites and physical locations and of the fulfillment of your orders. You may be required to provide financial information before placing an order through our Websites.

∙Survey Responses and Search Queries. Your responses to surveys that we might ask you to complete for research purposes.

∙Newsletters and Other Communications. We offer visitors to the Websites the opportunity to sign up to receive newsletters or other email communications from the Websites, at your own request. In order to sign up for these communications, we ask for contact information, such as name and email address. We also may offer the opportunity for you to receive mailings from our business partners or affiliates that we think may be of interest to you. You can unsubscribe from these communications at any time through the unsubscribe link in each communication, contacting us via email at [email protected] or contacting us in writing at the address provided below. INFORMATION COLLECTED AUTOMATICALLY

As you navigate through and interact with any of our Websites, we automatically collect certain information about your equipment, browsing actions and patterns, including details of your visits to our Websites, including traffic data, location data, and the resources that you access and use on the Websites, information about your computer and internet connection, including your IP address (a unique string of numbers that is automatically assigned to your computer by your Internet Service Provider), operating system and browser type. Some, but not all, of the information that we automatically will be considered Personal Information.

The information we collect automatically is also used as statistical data. It helps us to administer and improve our Websites and to deliver a better and more personalized service by enabling us to estimate our audience size and usage patterns, store information about your preferences, allowing us to customize our Websites according to your individual interests, speed up your searches and recognize you when you return to our Websites.

The technologies we use for the automatic collection of information may include:

∙Web Beacons. Pages of the Websites and our e-mails may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags and single-pixel gifs) that permit us or our business partners, for example, to count users who have visited those pages or opened an e- mail and for other related website statistics (for example, recording the popularity of certain website content and verifying system and server integrity).

We may combine information we collect from you directly and automatically, we may also combine information we collect from you with information obtained from other sources or that you provide to us.

INFORMATION PROVIDED BY THIRD-PARTIES AND THIRD-PARTY USE OF COOKIES AND OTHER TRACKING TECHNOLOGIES

Some content or applications, including advertisements, on the Websites are served by third parties, including advertisers, ad networks and servers, content providers, and application providers, including services known as Google Analytics and others (see below for additional information regarding the Google Analytics service). These third parties may use cookies alone or in conjunction with web beacons or other tracking technologies to collect information about you when you use our Websites. The information they collect may be associated with your Personal Information or they may collect information, including Personal Information, about your online activities over time and across different websites and other online services. They may use this information to provide you with interest-based (behavioral) advertising or other targeted content.

∙Google Analytics. Some of our Websites use Google Analytics to better understand how visitors interact with the Website. This service provides Personal Information and Non-Personal Information including but not limited to data on where visitors came from, what actions they took on the Websites, and where visitors went when they left the Websites. We use this information to improve your experience when visiting the Website. To learn more about this service and how to opt out of data collection by Google Analytics, you can reference Google’s online information regarding privacy and Google Analytics. We may also work with other business partners to conduct research surveys in order to improve the user experience on the Websites. We encourage you read the privacy statements of these business partners to learn about their data practices.

For third party websites and third party tracking technologies, we do not control these third parties’ tracking technologies or how they may be used. The information practices of these third-party sites are governed by their own privacy policies and are not covered by this Privacy Notice. If you have any questions about an advertisement or other targeted content, you should contact the responsible provider directly.

5. HOW WE USE THE INFORMATION THAT WE COLLECT OR THAT YOU PROVIDE

The information you share with us or that we collect may be used or disclosed in a few ways:

∙ For administration, troubleshooting and to help improve the quality of the Websites and their design. We also may share Non-Personal Information without restriction, including with existing and prospective third-party business partners, researchers and advertisers.

∙Personal Information: We may disclose Personal Information that we collect or you provide as described in this Privacy Notice.

Personal Information collected by us or provided to us through the Websites may be disclosed and used by us and our subsidiaries and affiliates as follows:

∙ to our subsidiaries and affiliates;

∙ for administration purposes including administration of the Websites or of rewards programs;

∙ to notify you about changes to our Websites or any products or services we offer or provide through them;

∙ to allow you to participate in interactive features on our Websites, and communications with you;

∙ to contractors, service providers and other third parties we use to support our business and only for the purposes for which we disclose it to them;

∙ to a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution or other sale or transfer of some or all of assets of us or our subsidiaries or affiliates, whether as a going concern or as part of bankruptcy, liquidation or similar proceeding, in which Personal Information about our Websites’ users is among the assets transferred;

∙ for any other purpose disclosed by us when you provide the information; or

∙ with your consent.

We may also disclose Personal Information if we are required to do so by law or we in good faith believe that such action is necessary to (a) comply with any court order, law or legal process, including to respond to any government or regulatory request; (b) protect and defend our rights and property; (c) protect against misuse or unauthorized use of the Websites; or (d) protect the personal safety or property of our users or the public. Please note that we may not provide you with notice prior to disclosure in such cases.

We may share your Personal Information as part of a transaction, financing, or for other business needs.  For example, if US LBM sells any of its businesses or assets, applies for loans, or opens bank accounts, we may disclose your Personal Information to the prospective buyer, lender or bank, as the case may be, as part of certain due diligence processes. We also share information for the purpose of management and administration of US LBM’s business.

We may share your Personal Information with a successor to all or part of our business. If part of our business (including any of our affiliates, divisions, and business units) is acquired by a third party, we may include Personal Information as part of that transaction, which may include some or all categories of your Personal Information. We may also share your Personal Information if there is a similar change to our corporate structure.

We may also share your information with others as they conduct diligence of our corporate changes.

We may use the information we have collected from you to display advertisements to our advertisers’ target audiences.

We may also disclose your Personal Information to enforce or apply our Terms of Use and other agreements, including for billing and collection purposes.

∙ Verification Checks (Employment and/or Credit). With respect to Websites that provide you with the opportunity to apply for employment or credit, or the ability to purchase goods and services, we may utilize third-parties to check and verify your background or credit as is customary in such industry. By submitting any application materials via the Websites, you hereby expressly authorize us to perform such verifications in accordance with applicable law. When you create or post a resume, we utilize a third party, ClearCompany, to process such resume. Such processing may be subject to additional terms or conditions as set forth by ClearCompany. Some of the information we collect may be financial information that we may use to determine whether to grant you credit at one of our stores. In particular, we may use information you provide to us to assess credit risks relating to our business, including to evaluate and process your application for credit at our stores and to manage your existing account. We may also collect your Personal Identifiable Information from others, such as credit bureaus, affiliates, or other companies in order to process your application. 6. ADVERTISEMENTS AND OPTING OUT

We support the right of our visitors to choose. We strive to provide you with choices regarding the Personal Information you provide to us. See below on how to control your options.

∙Tracking Technologies and Advertising. Users can opt out of cookies at any time. You can also set your browser to refuse all or some browser cookies, or to alert you when cookies are being sent. ∙Account Preferences. Some of our Websites provide the option to register and create user accounts. User accounts for such Websites include the ability to set certain preferences with respect to your privacy, including the ability to opt-out of certain communications. Each Website’s user interface might be slightly different, but you should look for the “Account Settings” or “Preferences” link on the user dashboard after logging in. There you will find additional information about managing your preferences.

7. ACCESS, CORRECTION, AND OPTING OUT OF SALE

California residents have a right to know about the Personal Information that we hold about you and gathered through the Websites, including the right to delete the information that we have on file. Please see Section 11 and Section 12 for how to exercise these rights as a California resident.

If you are a consumer in Nevada, in very limited circumstances, we may be considered to be selling your Personal Information or covered information as defined by Nevada law. Should you wish to opt out of the sale of your Personal Information or covered information, to the extent we may be considered to be selling it under Nevada law, please email us at [email protected] and please include your request to not make any sale of your Personal Information or covered information. We may need to contact you to verify your request.

8. SECURITY

We have put in place reasonable precautions to protect information from loss, misuse and alteration, including Secure Socket Layer (SSL) or Transport Layer Security (TLS) technology. Unfortunately, the transmission of information via the Internet is not completely secure. Although we incorporate safeguards intended to mitigate risk and help protect the security, integrity and privacy of your Personal Information, we cannot guarantee the security of your Personal Information. Any transmission of Personal Information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on any of our Websites.

9. EXTERNAL LINKS

The Websites may provide links to various websites that we do not control. When you click on one of these links, you will be transferred out of our Websites and connected to the website of the organization that you selected. Each of these linked sites or services maintains its own independent privacy and data collection policies and procedures. While we expect our business partners and affiliates to respect the privacy of our users, we cannot be responsible for the actions of third parties. If you visit a website that is linked to or from any of our Websites, we encourage you to consult that website’s privacy policy before providing any Personal Information and whenever interacting with any website. You should familiarize yourself with any terms and policies of such third party website before utilizing such website.

10. SOCIAL MEDIA

Our Websites engage with guests on multiple social media platforms (e.g., Facebook, Twitter, YouTube, LinkedIn, and Pinterest). If you contact us on one of our social media platforms, request guest service via social media, or otherwise direct us to communicate with you via social media, we may contact you via direct message or use other social media tools to interact with you. In these instances, your interactions with us are governed by this Privacy Notice as well as the privacy policy of the social media platform you use. See below for additional information regarding interactions among you, the Websites, and other social media platforms.

∙Social Media Widgets. Our Websites and Mobile Apps include social media features, such as the Facebook Like button, Google Plus, Pinterest, and Twitter widgets. These features may collect information about your IP address and which page you’re visiting on our Websites, and they may set cookies or employ other tracking technologies. Social media features and widgets are hosted either by a third party or directly on our Websites. Your interactions with those features are governed by the privacy policies of the companies that provide them.

∙Social Media Ads. Our Websites may display targeted ads to you through social media platforms. These ads are sent to groups of people who share traits such as likely commercial interests and demographics. For example, the ads may target guests who have expressed an interest in shopping for groceries, cosmetics, clothing, etc. See the policies of each social media platform for additional information about these types of ads.

11. SPECIAL NOTICE TO CALIFORNIA RESIDENTS UNDER CIVIL CODE § 1798.83

If you reside in California, you have the right to ask us one time each year if we have shared personal information with third parties for their direct marketing purposes. To make a request, please send us an email at [email protected], or write to us at the address listed below under “Contact Us.” Indicate in your letter or email that you are a California resident making a “Shine the Light” inquiry.

Additionally, the California Online Privacy Protection Act requires us to disclose how we respond to “do-not- track” requests from our users. At this time, we do not currently respond to “do-not-track” requests from our users’ browsers.

12. SPECIAL NOTICE TO CALIFORNIA RESIDENTS UNDER THE CALIFORNIA CONSUMER PRIVACY ACT (“CCPA”)

We collect and use Personal Information from you and about you:

We (and the vendors we hire to perform business functions on our behalf) may collect, receive, and develop several categories information which identifies, relates to, describes, references, is capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular consumer, household, or device (referred to as “Personal Information” for purposes of this Section 12).

In particular, we collected the following categories of Personal Information from consumers within the last twelve (12) months:

traditional identifiers, such as first and last names, addresses, email addresses, and birthdate.

demographic information, which sometimes includes protected class information including age, gender, or marital status;

financial information, such as credit card numbers, expiration dates, card verification numbers when you place an order with us, or credit information when you apply for credit to purchase our products or services;

internet and network activity information, including digital identifiers, such as cookies, IP addresses, device IDs, usernames, and passwords, as well as the pages you may visit or the third-party websites from which or to which you go from our website;

location information including zip codes, IP addresses, geolocation, and delivery addresses and geolocation to facilitate deliveries and shipments of orders;

commercial information, including purchase history,

inferences, such as using other pieces of Personal Information collated about you to draw inferences about you, such as making new product recommendations based on your purchase history; and

employment-related information for job applicants, which may include education history and work history.

We do also have cameras at many of our facilities for security purposes on which we may inadvertently collect your image or your presence, but we only employ these cameras for security purposes and do not employ facial recognition or any similar software on such images and do not use these security images for any commercial purpose.

We use your information for other marketing purposes. We use the information you provide when you sign-up for communications to send you our newsletters, as well as special offers and promotions. We also use your purchase and preference information, internet and network activity, location, and inferences to advertise and market our products to you.

 

We use information to fulfill or meet the reason you provided the information. We collect Personal Information to provide you with support and to respond to your inquiries, including to investigate and address your concerns and monitor and improve our responses. For example, if you share your traditional identifiers like your name and contact information to request a price quote or ask a question about our products or services, we will use that Personal Information to respond to your inquiry. If you provide traditional identifiers and financial information to purchase a product or service, we will use that information to process your payment and facilitate delivery. We may also save your commercial information to facilitate new product orders or process returns or warranties.

We may also use this information to provide important product safety information and notice of product recalls.

We use information for security purposes. We may use digital identifiers or other categories of Personal Information as necessary to protect our rights, privacy, safety or property, security and/or that of our affiliates, you, or others. We also may use this Personal Information to protect our websites or our services, as well as to detect and investigate activities that may be illegal or prohibited (such as cyberattacks or fraudulent activities).

 

We use information for hiring purposes. We use contact information and employment-related information to review your job applications and contact you about employment opportunities.

We use information for business transfers. For example, we use commercial information and employment-related information to evaluate or conduct a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Information held by us about our consumers is among the assets transferred.

We use information to verify requests made pursuant to this Privacy Policy. We will use certain pieces of Personal Information to verify your identity if you make requests pursuant to this Privacy Policy. The verification steps and the pieces of Personal Information that we request may vary depending on the sensitivity and nature of your request.

We collect Personal Information directly from you or someone from your household. We collect traditional identifiers from you or someone from your household when you fill out a customer service request form online, place an order, schedule a delivery, subscribe to our newsletters, enter a contest, or request a quote or estimate. We collect financial information and commercial information if you make a purchase. We collect employment-related and demographic information if you apply for or accept a job.

We collect Personal Information from your devices. We use third party analytics tools like browser cookies and web beacons to automatically collect information about you (including digital identifiers). We collect this information when you visit our websites or use our mobile applications, such as when you use our mobile application we may receive your device ID. We may have our technical service providers collect Personal Information on our behalf in this way, too, and we may also collected location and internet and network activity information.

 

We get Personal Information from vendors and service providers who provide services to us. We may collect financial information, commercial information, traditional identifiers, internet and network activity information, and location information from vendors and service providers. We may also collect employment-related information and demographic information in an employment context from vendors and service providers.

We get information about you from other sources. Other parties may give us Personal Information about you. For example: we collect financial information when you request credit to purchase our products and we have permission from you to do a credit check with a credit bureau; we collect employment-related information about a job applicant who has given a third party permission to disclose details relevant to their application; and we may also collect new mover data (traditional identifiers and location information) and commercial and demographic information from third parties to better advertise. Additionally, we may collect Personal Information from entities who are clients of ours, such as when a contractor is working on an addition to a house and has purchased products from us and we need to make a delivery to job site at that home address of items the contractor has purchased; commercial information, traditional identifiers, and location information from referrals or from our partners; and traditional identifiers and location information from public records. We also collect information, including traditional identifiers and internet and network activity information from social media platforms.

We may share each category of Personal Information with affiliates or subsidiaries. 

We share your Personal Information with vendors who perform services on our behalf. We may share each category of Personal Information with our third-party service providers who provide services such as website hosting, data analysis, payment processing, order fulfillment, infrastructure provision, IT services, customer service, email delivery services, credit card processing, auditing services, hiring and screening services, and other services, to enable them to provide services.

We may share each category of your Personal Information with our business partners. We share Personal Information with third-party strategic partners; third parties in connection with certain promotions or contests you may participate in; and our online and email advertisers or other third-party vendors we use who may provide, manage, and improve our online, mail, and email advertising campaigns or communications.
